• Represented a large industrial group in successfully handling regulatory and licensing matter of supply of electricity to its wholly owned Mega Mall situated in Karachi. Assisted the Company before NEPRA in relation to proceedings of modification of generation license. Also drafted various agreements including Power Purchase Agreement and Chilled Water Supply Agreement for the client.
• Represented NTDC in defending regulatory compliance proceedings initiated by NEPRA including the matter relating to dispute regarding sale of 650 MW electricity to K-Electric by the National Grid Company.
• Representing various electricity Distribution Companies in defending Fine imposed by NEPRA for non-compliance of Performance Standards before Islamabad High Court. Status quo orders have been granted by the Honorable Court in the matters.
• Assisted Punjab Privatization Board in carrying our entire privatization process of government owned companies. Successfully assisted the Board in completing the due diligence of the 100 MW solar power project and finalizing the private sector participation plan. Advised PPB in legal, corporate and regulatory aspect of the transaction.
• Assisting Energy Efficiency Agency of Punjab in its goal to solarize various education institutes of Punjab through assistance from a renowned German organization working in energy sector.
• Representing various Sugar Mills owned generation companies of a capacity of more than 100 MW before Islamabad High Court in seeking a direction to Central Power Purchasing Agency to sign Energy Purchase Agreement with the clients.
• Assisted a large Solar Power Chinese Company in preparation and submission of bid in relation to a tender of Government of Punjab to solarize 2000 schools.
• Represented a large Chinese Solar Power Company in challenging and successfully defending rejection of its bid in a project of Government of Punjab.
• Represented a Power Generation Company in challenging award of Contract to a second highest bidder of a Hydel Project in Punjab before Lahore High Court Lahore.
• Assisted a large Solar Power Company in Structuring a transaction to supply equipment to a to Mega Mall situated in Faisalabad. Prepared Agreement of Sale of Equipment on deferred payment terms, Collateral Agreement and Lease Agreement. Also drafted complete set of agreements for the transaction to Finance the project through an Islamic Financing Institution.
• Assisted a large UK based Company in legal and regulatory matters to establish solar power business in Pakistan.
• Represented the largest State Oil Company of Pakistan in defending a sales tax and custom duty matter before Lahore High Court.
• Representing the apex corporate and capital market regulatory body, SECP, in defending various regulatory acttions challenged by public listed and other companies before Lahore High Court, Lahore.
• Assisting an American Laboratory in carrying out laboratory services being outsourced by Health Department, Province of Punjab. Assisted the Company in issues relating to corporate and public procurement matters. Also assisted the company in drafting pathology contracts and in all other allied legal issues.
• Represented and successfully acquired the symbol of Bat for a client of ruling Political Party through filing a writ petition in Lahore High Court Lahore.
• Assisted a large Multi-National Company in acquiring a land/asset. Supervised due diligence of the property and ensured required corporate approvals of the Company selling asset to the client.
• Assisted and successfully handled the cases of revival of companies struck off from the register of Companies.
• Representing a renowned group of schools before the honorable Lahore High Court on a dispute between the management of the Company.
• Assisting a large oil and gas company in a project to wheel solar power to a bulk power consumer through use of system of the host DISCO.
• Providing legal and regulatory advice to various private limited companies in establishing business in Pakistan.
• Advising a renowned German Engineering Consultancy Company on various corporate law issues.
• Senior Partner, Mr. Saqlain worked for NTDC as in-house Legal Counsel and handled legal cases filed by and/or against NTDC. Gave legal opinion and advised the Company on regulatory and legal issues regarding corporate, civil, land acquisition and service matters. Assisted the Company in drafting and negotiating Power Purchase Agreements, Finance Agreement and Implementation Agreements with Independent Power Producers. Vetted/reviewed internal documents/material contracts to minimize Authority’s legal exposure. Assisted the Company in Public Procurement of goods, services, and works under Pakistan PPRA Rules.
• Senior Partner, Mr. Saqlain worked for Securities & Exchange Commission of Pakistan (SECP) as Deputy Director (Litigation & Advisory) and assisted the Commission by providing legal advice and made recommendations in relation to a range of corporate law issues pertaining to corporate laws administered by the Commission including Companies Ordinance, 1984, Securities and Exchange Ordinance, 1969 and Insurance ordinance, 2000. Conducted wide range of litigation including 25 Mergers and acquisition transactions and litigation relating to shareholder’s disputes, Reduction of Capital, Oppression and Mismanagement, winding up of Companies and litigation relating to stock exchanges, insurance companies and non-banking finance companies. Drafted various Regulations and Guidelines for the Commission. Drafted legal submissions and pleadings, prepared applications, affidavits, legal briefs and opinions on the litigation matters pending before the courts.
• Senior Partner, Mr. Saqlain remained Legal Advisor of National Electric Power and Regulatory Authority (NEPRA) and assisted the Authority in matters relating to licensing and determination of tariff of the generation, transmission and distribution companies including K-Electric, WAPDA, Nuclear Power Plants, Captive Power Plants and other Renewable Energy Projects. Assisted the regulator in amending and drafting of various Rules and Regulation for the licensee companies to bring the existing legal framework in line with new developments in power sector. Being a Member of Appellate Board, NEPRA, heard and decided appeals regarding metering and billing disputes, filed by the Distribution Companies or the electricity Consumers against the decisions of Electric Inspector/Provincial Office of Inspection established in each province under provisions of the NEPRA Act, 1997. Conducted litigation on behalf of Authority regarding electric power related issues at apex courts of Pakistan including Sindh High Court of Sindh, Islamabad High Court and Lahore High Court Lahore. Appeared and argued cases on behalf of the Authority and also drafted comments/replies to be filed in courts.
• Senior Partner, Mr. Saqlain being Chief Legal Officer (CLO) of Quaid-E-Azam Solar Power Limited assisted the Company in implementation of the first ever 100MW Solar Power Project in Pakistan. Assisted the Company successfully in seeking the generation licence, Upfront Tariff, execution of project documents including Energy Purchase Agreement, Implementation Agreement, Financing Agreements and preparing legal opinions/advice on a wide range of power sector related issues. Assisted the Company in procurement of goods, services and consultancies in compliance of Public Procurement Laws. Was involved in preparing, examining, and evaluating the Bid Documents, TORs, RFP including drafting of bid specifications and other necessary contract documents related to the procurement. Prepared agreements and contracts, with a variety of external organizations and stakeholders partnering with Company. Also assisted the Company in providing legal advice on human resources matters and assists in reviewing administrative decisions. Handled legal, corporate and regulatory affairs of the Company. Rendering legal opinion to the Board of Directors, Chief Executive Officer and other functional heads of the Company on various legal issues.
